Vexial reserves the right to terminate your use of the App if you violate any of the above rules or if we otherwise determine, in our sole discretion, that your use of the App is inappropriate.

Proprietary Rights

The App and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Vexial, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

These Terms permit you to use the App for your personal, non-commercial use only. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the App, use of the App, or access to the App or any of its features without the express written permission of Vexial. You also agree not to access the App or its features by any means other than through the interface provided by Vexial.

Termination

Vexial reserves the right, in its sole discretion, to terminate your access to the App, or any portion thereof, at any time, without notice.

Idemnification

You agree to indemnify, defend and hold harmless Vexial, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App, including, but not limited to, any content submitted by you.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the App will be resolved through binding arbitration in accordance with the then-current rules of the American Arbitration Association.

Governing Law

These Terms and your use of the App are governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of law.

Entire Agreement

These Terms constitute the entire agreement between you and Vexial regarding the use of the App.
